The Smarter Web Company Raises $56M Following Major Bitcoin Acquisition
UK-based web development and digital strategy firm The Smarter Web Company has raised over $56 million just days after a high-profile Bitcoin purchase, signaling its intent to double down on digital asset accumulation as a core corporate strategy.
The company announced the successful closing of an accelerated bookbuild and share subscription that brought in approximately £41.2 million ($56.6 million), with shares issued at £2.90 apiece. This move comes only 48 hours after the firm disclosed the acquisition of 196.8 Bitcoin for $20 million, bringing its total Bitcoin holdings to 543.52 BTC — valued at over $34.5 million at current market prices.
A Two-Pronged Strategy: Capital and Crypto
The fundraising effort was divided into two main components:
-
A £36.27 million placing with institutional investors
-
A £4.97 million retail subscription, offered via PrimaryBid, a UK retail investment platform
Shares from this latest offering are expected to begin trading on the London Stock Exchange's AIM board starting July 1.
The speed and scale of the capital raise demonstrate the company’s growing momentum following its reverse takeover earlier this year. It now aims to leverage its cash reserves and public profile to become one of the largest corporate holders of Bitcoin globally — targeting a place among the top 30 public BTC holders.
Aggressive Bitcoin Treasury Strategy
The Smarter Web Company began acquiring Bitcoin in May 2025, initially purchasing 83.24 BTC. Through five separate transactions in June, it has grown that to 543.52 BTC — a nearly sixfold increase in less than a month.
Its average purchase price stands at approximately $104,450 per BTC, making its total Bitcoin holdings worth roughly $34.5 million at today’s price of $63,500 per coin (as of June 27, 2025).
The company’s CEO, David D. Brown, recently met with MicroStrategy co-founder Michael Saylor — a pioneer in corporate Bitcoin adoption — to discuss the firm’s long-term treasury strategy and digital asset management goals. This underlines the firm’s commitment to modeling itself after larger, crypto-forward enterprises like MicroStrategy and Tesla.
Market Reaction: Volatility Despite Momentum
Despite the bullish announcements, The Smarter Web Company’s stock fell by about 15% in the days following the funding round, dropping from $4.20 to $3.56. However, the stock remains up over 270% year-to-date, a remarkable rise for a company that only completed its public listing this April.
Market analysts point to a combination of profit-taking and concerns over dilution as potential causes for the pullback. Still, the capital influx and crypto accumulation narrative continue to resonate with retail and crypto-native investors.
The company trades on the US OTCQB Venture Market under the ticker TSWCF, offering exposure to both UK-based growth and the digital asset trend to American investors.
Unconventional Valuation Mechanics
Much of the firm’s recent valuation growth is tied to its unique equity issuance structure. According to the Financial Times, the company employs a "controlled dilution" model that issues new shares daily in tranches based on the net asset value (NAV). This has allowed it to rapidly grow its market capitalization — from just £3.7 million at the time of its reverse takeover to nearly £937 million today.
Such a model can appear similar to a perpetual funding engine: issuing shares as long as the price exceeds NAV, often attracting speculators rather than long-term investors. While effective in the short term, this raises long-term sustainability questions.
Looking Ahead: A Top 30 Bitcoin Holder?
The Smarter Web Company has made it clear that this is just the beginning. With a bold 10-year vision and a declared intention to be a leader in corporate crypto strategy, it’s positioning itself as more than just a web services provider. Instead, it is becoming a hybrid enterprise — combining digital infrastructure services with a Bitcoin-centric treasury model.
If it continues on this path, it could soon join the likes of MicroStrategy, Tesla, and Galaxy Digital as one of the world’s largest corporate holders of Bitcoin. But with that ambition comes risk — and the next few quarters will reveal whether its capital strategy can support its long-term crypto play.
