KindlyMD Raises $51.5M to Strengthen Bitcoin Treasury Strategy Ahead of Nakamoto Merger
In a bold continuation of its Bitcoin-centered strategy, KindlyMD has secured an additional $51.5 million in capital, bringing the company’s total fundraising to $763 million as it approaches a highly anticipated merger with Nakamoto Holdings, a firm known for its aggressive Bitcoin treasury operations.
The latest financing round was completed within 72 hours, at a share price of $5, through a private investment in public equity (PIPE) transaction. According to a company statement, the funds will be directed toward increasing its Bitcoin reserves, supporting working capital needs, and general corporate activities.
The new capital adds to $563 million previously raised in PIPE deals and $200 million in convertible notes. The funding will close concurrently with the merger, expected to be finalized in Q3 2025, pending shareholder and regulatory approval, including from the U.S. Securities and Exchange Commission.
A Strategic Bitcoin Treasury Move
KindlyMD, primarily a healthcare data and services firm, is pivoting sharply into Bitcoin treasury management through its union with Nakamoto Holdings. This strategic evolution reflects a broader trend among public companies seeking to adopt Bitcoin as a long-term store of value and inflation hedge.
The deal structure closely mirrors treasury strategies employed by firms like MicroStrategy, which has famously acquired billions in Bitcoin via debt offerings. KindlyMD aims to take a similar path by building a sizable digital asset portfolio through equity and debt raises.
Market Implications and Volatility Concerns
The decision to invest heavily in Bitcoin comes amid a volatile but generally upward-trending market. As of June 2025, Bitcoin trades between $102,000 and $104,000. While optimism remains high among crypto-native investors, financial analysts have raised concerns over the potential downside. A significant price correction—particularly if Bitcoin drops below $90,000—could place immense pressure on firms that have tied their balance sheets to the asset’s performance.
Standard Chartered recently warned that some Bitcoin-heavy firms could face liquidity or credit risks if prices sharply decline, especially those leveraging short-term financing structures to acquire the cryptocurrency.
Hybrid Corporate Model: Healthcare Meets Crypto
The merger of KindlyMD and Nakamoto Holdings introduces a novel hybrid model combining healthcare operations with Bitcoin treasury strategies. The combined entity, to trade under the ticker “NAKA,” will focus on long-term Bitcoin accumulation while scaling its healthcare-data business. This dual approach may offer operational diversification, though it also introduces complexities in risk management and investor communications.
Industry observers see this as a new phase in the institutional adoption of Bitcoin—where traditional businesses integrate cryptocurrency exposure directly into their corporate DNA, rather than treating it as an auxiliary asset.
Looking Ahead
With the final stages of the merger approaching, investors and analysts will closely monitor how KindlyMD manages its dual identity. The ability to maintain both financial discipline in healthcare operations and agility in crypto markets will be key to long-term success.
As public companies increasingly treat Bitcoin as a strategic reserve asset, KindlyMD’s bold move could serve as either a benchmark for others to follow—or a cautionary tale if volatility proves too disruptive. Either way, it underscores how the line between traditional enterprise and digital assets continues to blur in 2025.
